Deregistration

Alternatively, Hong Kong limited companies can choose to apply for deregistration. The procedures are simpler than winding up and the time required is shorter.

To apply for deregistration, the following conditions must be met:

  • All members of the company agree to deregister the company;
  • The company has not yet started operations or business operations, or the company has not operated or conducted business in the 3 months immediately before the application;
  • The company has no outstanding debts;
  • The company is not a party to any legal process;
  • The company's assets do not include real estate located in Hong Kong;
  • (If the company is a holding company) all the assets of the company's subsidiaries do not include real estate located in Hong Kong; and
  • The company is not a company specified in section 749 of the Companies Ordinance.
